These Terms of Service govern all web design, graphic design, logo design, and related services provided by Illucid Design (operated by Todd, Athens, Ontario). By hiring Illucid Design or accepting a project proposal, you agree to these terms.
Illucid Design provides web design, logo design, graphic design, website maintenance, and SEO audit services to clients in Athens, Ottawa, Kingston, and across Eastern Ontario. The specific scope of work for each project is outlined in a written proposal or quote sent to you before work begins. No work will start until scope and pricing are agreed upon in writing (email is sufficient).
All prices quoted are in Canadian dollars (CAD) and are valid for 30 days from the date of issue. Quoted prices cover the specific scope of work described. Any additions or changes to scope requested after work has begun may result in additional charges, which will be communicated to you before proceeding. Prices listed on the website are starting prices — final pricing depends on the complexity and requirements of your project.
A deposit of 50% of the total project cost is required before work begins. The remaining 50% is due upon project completion, before final files or website launch are delivered. For ongoing monthly services (care plans, maintenance), payment is due at the start of each billing period. Invoices unpaid after 14 days from the due date may incur a late fee of 2% per month on the outstanding balance. Illucid Design reserves the right to pause or suspend work on any project with an outstanding unpaid invoice.
All project packages include a specified number of revision rounds, as stated in your proposal (typically two rounds for most packages). A revision round means a consolidated set of changes submitted at one time — not multiple separate requests. Revisions beyond the included rounds will be quoted and billed at an hourly rate of $75 CAD/hour. Revisions must be requested within 14 days of delivery. After 14 days, the delivered work is considered approved.
To complete your project on time, we need things from you: timely feedback, any content (text, photos, logos) required for the project, access to relevant accounts (hosting, domain, existing website) where applicable, and a designated point of contact who can make decisions. Delays caused by late content or feedback from your side may push back delivery timelines. Illucid Design is not responsible for project delays caused by the client's failure to provide required materials.
Estimated timelines are provided in good faith based on typical project scope. The 48-hour turnaround applies to Starter landing page projects only, provided all content is supplied upfront and feedback is returned promptly. Timelines for other projects are estimates and may vary. Illucid Design will communicate any delays as soon as they are identified.
Upon receipt of final payment in full, you own the final delivered work — including website files, logo files, and graphic design assets. Illucid Design retains the right to display completed work in our portfolio and marketing materials unless you explicitly request otherwise in writing. Prior to full payment, all work remains the intellectual property of Illucid Design. Third-party assets used in your project (stock photos, licensed fonts, plugins) remain subject to their own licensing terms, which will be disclosed to you.
Illucid Design does not provide web hosting or domain registration as a standalone service. We can assist you in setting up your own hosting and domain, and we can deploy your website to your hosting environment. You are responsible for ongoing hosting and domain renewal costs. Illucid Design is not liable for any downtime, data loss, or security issues that occur at the hosting provider level.
Any confidential business information you share with us in the course of a project will be kept strictly private and will not be disclosed to any third party. We will not discuss, share, or publish details of your business, project, or conversations without your consent, except where required by law.
You may cancel a project at any time by notifying us in writing. If you cancel after work has begun, the deposit is non-refundable. If work completed exceeds the deposit amount at the time of cancellation, you will be invoiced for the work completed to that point at our standard rates. Illucid Design reserves the right to cancel a project if a client becomes unresponsive for more than 30 consecutive days, or if the working relationship becomes untenable. In such cases, you will be invoiced for work completed to the point of cancellation.
Illucid Design's total liability for any claim arising from services provided shall not exceed the total amount paid by you for the specific project in question. We are not liable for any indirect, incidental, or consequential damages, including but not limited to lost revenue, lost business opportunities, or losses arising from website downtime. We do our best work on every project, but we cannot guarantee specific business outcomes, search engine rankings, or conversion rates from any website or design we produce.
All completed projects include a 30-day support period (60 days for E-Commerce packages) during which we will fix any bugs or issues that are directly caused by our work at no charge. This warranty does not cover issues caused by third-party plugins, hosting provider problems, client modifications to the site, or changes in browser/platform behaviour after delivery.
These Terms of Service are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein. Any disputes arising from these terms or from services provided by Illucid Design shall be resolved in the courts of Ontario, Canada.
Illucid Design may update these Terms of Service from time to time. The date at the top of this page reflects the most recent version. Terms in effect at the time a project proposal is accepted govern that project, regardless of subsequent changes.
